Terms of Service

Last updated: October 16, 2026

This English version is provided for convenience. If the two differ, the Japanese version prevails.

These Terms of Service (the "Terms") are an agreement between MJ World Japan G.K. (合同会社, "MJ World Japan") and the business that uses EC THUNDER. By registering an account, clicking "I agree" or otherwise using the Service, you accept them on behalf of your business.

1. Definitions

In these Terms, the following words have the meanings below. The singular includes the plural, and headings do not affect interpretation.

  • "Company" means MJ World Japan G.K. (合同会社), the operator of the Service.
  • "Service" means the web-based software EC THUNDER, including its dashboards, assistant, APIs and documentation.
  • "Customer" means the business that holds an account and agrees to these Terms. "User" means a person the Customer authorizes to use the Service, or any visitor.
  • "Subscription" means a paid plan that gives the Customer recurring access to the Service, with the limits that plan states.
  • "Customer Data" means the data the Customer or its Users load into or make available to the Service, including data read from the Customer's Amazon account, supplier documents, bank records and accounting entries.
  • "Amazon Account" means the Customer's Amazon seller account, and "Amazon API" means the Amazon Selling Partner API.
  • "AI Features" means functionality that uses artificial intelligence from the Company or third parties to answer questions, make suggestions, produce text or assist workflows.
  • "Early Access" means the period before general availability in which the Service is offered under these Terms with the changes described in section 4.

2. Acceptance of the Terms

2.1Binding agreement. By registering an account, clicking "I agree" or otherwise accessing the Service, the Customer enters into a legally binding agreement with the Company made up of these Terms and the documents they refer to, including the Privacy Policy.

2.2Business use, age and authority. The Service is offered to businesses, not consumers, and is not directed to anyone under 18. The person accepting these Terms confirms they are at least 18 and have authority to bind the Customer.

3. Accounts and eligibility

3.1Accuracy. The Customer must give complete and accurate information when it registers and keep it up to date.

3.2Users and security. Each User must have their own account and must not share credentials. Two-factor authentication is required. The Customer is responsible for everything done through its accounts, including the roles it assigns, and must tell the Company promptly at the support address if it suspects unauthorized access.

3.3Right to refuse or terminate. The Company may refuse, suspend or terminate an account if it reasonably suspects a breach of these Terms or of law.

4. Early Access and beta features

The Service is in Early Access. We may change, add or remove features, and some features may be incomplete. Beta or experimental features are provided "as is", may be modified or withdrawn at any time, and are excluded from any availability or performance commitment.

5. Subscriptions, limits and billing

5.1Plans and fees. Plans, their features, limits and prices are described on the Service or agreed in writing with the Customer. During Early Access, fees (if any) are agreed with the Customer. Unless a price is stated to include tax, it excludes consumption tax, which is added where applicable, and the Company issues qualified invoices.

5.2Plan limits. A plan can limit the number of connected Amazon Accounts, the number of Users (outside collaborators in the partner role do not count), storage, and the number of competitor products tracked. The Service enforces them. If the Customer moves to a plan with lower limits, no Customer Data is deleted: connections above the new limit pause syncing until the Customer chooses which stay active, and Users above the limit cannot sign in until the number is reduced. Everything remains readable.

5.3AI credits. AI Features consume credits. A plan includes a monthly allowance that does not roll over, and the Customer can buy credit packs. Purchased credits expire twelve (12) months after purchase, have no cash value, cannot be transferred and are non-refundable except where the law requires. When credits run out, AI Features pause and the rest of the Service keeps working; scheduled jobs fall back to rules-only results.

5.4Auto-renewal. Subscriptions renew automatically for successive billing periods (monthly or annually, as chosen) unless cancelled before the end of the current period.

5.5Upgrades and downgrades. Upgrades take effect immediately and the prorated difference is charged on the upgrade date. Downgrades take effect at the next billing cycle.

5.6Payment. Fees are processed by Stripe on the Company's behalf. The Customer authorizes Stripe to store and charge the designated payment method. If a payment fails, the Company may retry it and, after a grace period of seven (7) days, restrict the account to read-only access until it is paid.

6. Cancellation and refunds

6.1Cancellation. The Customer may cancel its Subscription at any time in the Service. Access continues until the end of the prepaid period.

6.2No refunds. Subscription fees are non-refundable, and no credit or partial refund is given for unused time, except where the law requires or the Company agrees otherwise.

6.3Processing. Where a refund is approved, the Company starts it promptly through Stripe. It usually reaches the customer in 5 to 10 business days, and up to 30 days in rare cases.

7. Service levels

7.1Objective. The Company targets 99.5% availability in each calendar month, excluding scheduled maintenance and force majeure.

7.2Scheduled maintenance. The Company will endeavour to give at least forty-eight (48) hours' notice of planned downtime and to schedule it off-peak (22:00–04:00 Japan time).

7.3Remedy. For paid Subscriptions, if monthly availability falls below the objective, the Customer may request a service credit of 5% of the pro-rata Subscription fee for each 1% of availability lost, capped at 15%. This is the Customer's only remedy for unavailability. Early Access carries no service credit.

7.4Support. Support is provided by email at the address in section 22 on a reasonable-efforts basis.

8. Acceptable use

8.1Prohibited activities. The Customer and its Users must not:

  • use the Service unlawfully, fraudulently or in breach of Amazon's policies or terms;
  • reverse engineer, decompile, copy, resell or sublicense the Service, or use it to build a competing service;
  • scrape the Service, circumvent plan limits or credits, or use it in a way that overloads or disrupts it;
  • attempt to gain unauthorized access to the Service or another customer's data, or probe it for vulnerabilities without our written permission;
  • upload malware, or content or files they have no right to upload;
  • use the Service to collect buyers' personal information from Amazon in breach of Amazon's rules;
  • share credentials, or let anyone who is not an authorized User use an account.

8.2Organized crime exclusion. The Customer represents and warrants that neither it nor its officers is (a) a member of, (b) a former member within five years of leaving, (c) an associate or quasi-member of, or (d) an entity funded, influenced or controlled by an organized crime group (including a Japanese boryokudan or other anti-social force), and that it will not use the Service, directly or indirectly, for the benefit of such groups. The Company may refuse, suspend or terminate an account immediately on reasonable suspicion of a breach of this clause.

9. Customer Data and the Amazon connection

9.1Ownership and licence. The Customer owns its Customer Data. It grants the Company a licence to host, process, back up and display it to provide the Service to the Customer. The Customer confirms it has the right to load the data and to authorize the Company to process it.

9.2Authorization and scope. The Customer authorizes the Service to access its Amazon Account through the Amazon API, within the permissions it approves in Seller Central. The Company requests and processes only the minimum data reasonably required to provide the features the Customer uses.

9.3Revocation. The Customer can revoke the authorization at any time in Seller Central. The Service then stops syncing that account.

9.4Amazon is not a party. Amazon is not a party to these Terms and the Customer's use of Amazon remains subject to Amazon's own terms. If Amazon changes or restricts its API, parts of the Service may change or stop working. The Company is not responsible for Amazon's actions.

9.5Roles. As between the Company and the Customer, the Customer determines whether and how personal information in Customer Data is processed through the Service, and the Company processes it on the Customer's behalf to provide and secure the Service. The Customer represents it has lawful authority, and where required has given the required notices and obtained the required consents, for the Company to do so.

9.6Purpose limitation. The Company processes Customer Data only for the purposes in the Privacy Policy: to provide the Service, maintain security, prevent misuse, give support and meet legal obligations. It does not sell Customer Data or use it for advertising.

9.7Security and access. The Company applies the safeguards described in the Privacy Policy. Access to Customer Data is limited to authorized personnel with a need to know for support, security, compliance and operation, is role-based and uses authentication controls.

9.8Retention and deletion. Customer Data is kept and deleted as the Privacy Policy sets out. After termination the Customer may export its data for thirty (30) days; the Company then deletes it, subject to lawful retention requirements and the backup cycle.

9.9Data processing addendum. The Company can provide a data processing addendum on request. If one is agreed, it governs the processing of personal information in Customer Data to the extent it conflicts with these Terms.

10. AI Features

10.1Nature of the output. Output, suggestions and analyses from AI Features are for general information and to assist workflows. They are not legal, accounting or tax advice, are not a warranty, and do not replace final decisions. The Customer is solely responsible for reviewing AI output and for its own decisions.

10.2Errors. AI Features work on statistical and probabilistic methods and can produce errors, inaccurate output or unintended results. The Company makes no warranty about their completeness, accuracy or fitness for a purpose.

10.3Human approval. AI Features cannot change the Customer's Amazon Account, prices, orders or accounting records. A price change is written to Amazon only after an authorized User approves it, and the Customer is responsible for changes it approves.

10.4No training. The Company does not use the Customer's data to train its own models and chooses AI providers whose terms do not, by default, use submitted data to train models. The Company may analyse anonymized, aggregate usage statistics to improve the Service.

11. Intellectual property

11.1The Service. The Company and its licensors own the Service, including its software, design and documentation. Except for the right to use the Service under these Terms while the account is active, nothing transfers those rights.

11.2Feedback. The Company may use any suggestion or idea the Customer submits without restriction or compensation.

12. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of these Terms, except where disclosure is required by law.

13. Third-party services

13.1Services we use. The Service connects to third-party services including Amazon (Selling Partner API), DigitalOcean (hosting in Singapore), Anthropic and other AI providers, Postmark and Google (email), market data providers and, once paid plans start, Stripe (payments).

13.2Liability. The Company is not liable for downtime or data loss caused by those services, provided it acted with reasonable care in choosing and integrating them.

14. Privacy and data processing

Personal information is handled under the EC THUNDER Privacy Policy, which forms part of these Terms.

15. Termination and suspension

15.1For breach. The Company may suspend or terminate an account immediately and without notice if the Customer materially breaches these Terms or the law, or where Amazon or the law requires it. Where it can, the Company will give reasonable notice.

15.2For convenience. The Customer may close its account at any time in the Service. The Company will make a data export available for thirty (30) days after termination, unless termination was for fraud or security reasons.

15.3Effect. Termination does not affect accrued rights, or sections that by their nature should survive: intellectual property, confidentiality, disclaimers, limits of liability, indemnity and dispute resolution.

16. Disclaimers

16.1As is. Except as these Terms expressly state, the Service is provided as it is. To the extent the law allows, the Company disclaims implied warranties of fitness for a particular purpose, accuracy and non-infringement. This does not limit liability for the Company's intent or gross negligence.

16.2No professional advice. Figures in the Service depend on the data the Customer and Amazon provide and on the settings the Customer chooses, and the Company does not warrant that they are complete or error-free. The Service is not accounting, tax or legal advice. The Customer, with its tax adviser, is responsible for its books, tax returns and filings.

17. Indemnity and limitation of liability

17.1Indemnity. The Customer will indemnify and hold the Company harmless from any third-party claim arising from the Customer's breach of these Terms or violation of law, including a claim by Amazon about the Customer's use of its account.

17.2Liability cap. To the maximum extent the law allows, the Company's total liability to the Customer is limited to the greater of (a) the Subscription fees the Customer paid in the twelve (12) months before the claim arose, and (b) one million Japanese yen (¥1,000,000).

17.3Exclusions. The Company is not liable for indirect, incidental, special, punitive or consequential damages, or lost profit.

17.4Exceptions. These limits do not apply to loss caused by the Company's intent or gross negligence, or where the law does not allow them.

18. Dispute resolution

18.1Negotiation. The parties will first try to resolve a dispute by submitting a support ticket or email and negotiating in good faith for at least ten (10) days.

18.2Mediation. If unresolved, the dispute will be submitted to mediation under the Mediation Rules of the Japan Commercial Arbitration Association (JCAA) in Tokyo.

18.3Arbitration. If still unresolved, it will be finally settled by arbitration under the JCAA Commercial Arbitration Rules. The award is final and binding.

18.4Class actions. The parties waive any right to take part in class or representative actions.

19. Changes to the Terms

19.1How. The Company may amend these Terms by posting a revised version with a new "Last updated" date. Changes take effect immediately, except that material adverse changes, including fee increases, take effect thirty (30) days after notice by email or in the Service.

19.2Acceptance. Continuing to use the Service after the effective date is acceptance of the amended Terms. A Customer that does not accept them may close its account.

20. Governing law and venue

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction over proceedings for provisional relief and over the enforcement of arbitration awards.

21. General

21.1Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control.

21.2Assignment. The Customer may not assign or transfer these Terms without the Company's prior written consent. The Company may assign them without restriction in connection with a merger or sale of substantially all its assets.

21.3Severability. If a provision is held unenforceable, the rest stays in full force.

21.4Entire agreement. These Terms are the entire agreement between the parties about the Service and replace all earlier understandings.

21.5Notices. The Company may give notice by email to the account contact or in the Service. The Customer may give notice to the support address.
